This User Agreement (the “Agreement”) is entered into by and between Evident Corporate Investigations & Security Consulting (“we”, “us”, “our”, or “the Company”) and you (“you”, “your”, or “User”). By using or accessing the private member’s area of our website (the “Members Area”), you agree to be bound by the terms and conditions of this Agreement. Please read this Agreement carefully. If you do not agree with any of its terms, you must not use or access the Members Area.
Eligibility
To use the Members Area, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, and a legal resident of Canada. By using the Members Area, you represent and warrant that you meet these eligibility requirements.
Registration and Account Security
To access the Members Area, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information up-to-date. You are responsible for maintaining the confidentiality of your account credentials, and you agree to notify us immediately of any unauthorized access to your account.
User Conduct
As a User, you agree to:
a. Comply with all applicable laws, regulations, and this Agreement;
b. Use the Members Area for your personal, non-commercial use only;
c. Not impersonate any person or entity or misrepresent your affiliation with any person or entity;
d. Not engage in any conduct that is harassing, abusive, threatening, harmful, or otherwise objectionable;
e. Not post, transmit, or otherwise make available any content that is illegal, infringing, or violates the rights of others, including but not limited to copyrights, trademarks, patents, or trade secrets;
f. Not use the Members Area for any purpose that is fraudulent, deceptive, or misleading;
g. Not attempt to gain unauthorized access to the Members Area or its related systems or networks;
h. Not interfere with or disrupt the operation of the Members Area or its related systems or networks.
Intellectual Property Rights
All content and materials available on the Members Area, including but not limited to text, graphics, logos, images, and software, are the property of the Company or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content or materials available on the Members Area, except as expressly authorized by this Agreement or with our prior written consent.
Privacy
Your privacy is important to us. Our collection, use, and disclosure of your personal information are governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Members Area, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy.
Termination
We may terminate your access to the Members Area at any time, without notice, for any reason, including but not limited to your violation of this Agreement. Upon termination, you must cease all use of the Members Area and destroy any materials obtained from the Members Area.
Disclaimers and Limitations of Liability
The Members Area is provided on an “as-is” and “as-available” basis, without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall we be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to lost profits, arising out of or in connection with your use of the Members Area, even if we have been advised of the possibility of such damages. Our total liability to you for all damages, losses, and causes of action, whether in contract, tort (including but not limited to negligence), or otherwise, shall not exceed the amount paid by you, if any, for accessing the Members Area.
Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Members Area, your violation of this Agreement, or your infringement of any intellectual property or other rights of any third party.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Canada and the province in which the Company is incorporated, without giving effect to any principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the courts located in the province in which the Company is incorporated for the resolution of any disputes arising out of or relating to this Agreement or your use of the Members Area.
Severability
If any provision of this Agreement is found to be unlawful, void, or unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.
No Waiver
No failure or delay by the Company in exercising any right or remedy under this Agreement shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise of that right or remedy.
Entire Agreement
This Agreement, together with the Privacy Policy and any other legal notices published by the Company on the Members Area, constitutes the entire agreement between you and the Company concerning your use of the Members Area and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and the Company with respect to the Members Area.
Amendments
We reserve the right to amend this Agreement at any time, in our sole discretion. Any changes to this Agreement will be posted on the Members Area, and your continued use of the Members Area following the posting of any changes constitutes your acceptance of those changes.
